The Link between Global Capital and Local Projects !

Our core business is to efficiently access optimal capital sources, for a given sale or fund raising case, on a truly global basis, and to represent client's best interests until final closing of a deal.

We work on various corporate finance and brokerage assignments, on a non exclusive basis, and consistently follow our 3 steps path to success:

1. Evaluation & Optimization: first step is to derive an "Investment Case" with an optimal pricing range, from a given business case or business plan. This is done by bringing objective metrics to quantify the financial value creation of a deal, from both the seller / borrower (cost of capital) and the buyer / investor (ROI, NPV) perspectives.
2. Getting Commitments: next step is to come up with a short list of serious potential buyers / investors, to generate momentum and competition among them towards obtaining a binding commitment (Term Sheet Agreement) outlining the T&C of a deal.
3. Closing a Deal: finally we assist clients through the due diligence process, final documents drafting... bearing in mind that a deal is closed only when proceeds are properly transferred between parties at the transaction !

Our compensation is based on a retainer fee to cover initial time spent implementing step 1 of the above process, and on a success fee expressed as a % of the transaction actual proceeds (sale price, funds raised).
This commission is splitted into a cash portion and into an equity (warrants) share in the target company.
Being compensated for a significant part by equity in the target company is a guarantee to our buyers & investors of our commitment to the value of the deal, pre and post closing, and it provides our clients with a competitive advantage from more traditional brokerage approaches.
